Supplier Terms and Conditions

These Supplier Terms and Conditions (“Terms”) set forth the terms and conditions governing the relationship between Garland Service Company (“Company”) and its suppliers. By entering into a business relationship with Company, you agree to comply with these Terms. If you do not agree with these Terms, please do not engage in business with Company.
1. Supplier Obligations
1.1. Quality and Compliance: Suppliers shall provide products and/or services to Company in accordance with applicable laws, regulations, industry standards, and contractual agreements. Products and services must meet the quality and safety standards specified by Company.
1.2. Delivery: Suppliers must deliver products and/or services in a timely manner as specified in purchase orders or agreements. Any delays or changes in delivery schedules must be promptly communicated to Company.
1.3. Warranties: Suppliers may be required to provide warranties or guarantees for their products and services. The terms and duration of such warranties will be specified in written agreements.
1.4. Confidentiality: Suppliers may have access to confidential information and proprietary data of Company. Suppliers agree to maintain the confidentiality of such information and not disclose it to third parties without Company’s consent.
1.5. Compliance with Laws: Suppliers shall comply with all applicable laws and regulations, including those related to labor, environmental protection, and anti-corruption.
2. Pricing and Payment
2.1. Pricing: The pricing for products and services shall be as agreed upon in written contracts or purchase orders. Any changes to pricing must be mutually agreed upon in writing.
2.2. Payment Terms: Payment terms will be specified in written contracts or purchase orders. Suppliers agree to submit accurate and complete invoices for payment.
3. Termination
Company reserves the right to terminate its business relationship with a supplier at any time for any reason, with or without cause, upon written notice.
4. Inspection and Audits
Company may, at its discretion, conduct inspections and audits of supplier facilities and processes to ensure compliance with these Terms and quality standards. Suppliers agree to cooperate with such inspections and audits.
5. Intellectual Property
Any intellectual property created in the course of the business relationship between Company and a supplier shall be the property of Company unless otherwise agreed in writing.
6. Indemnification
Suppliers agree to indemnify and hold Company, its officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, costs, and expenses, including attorney’s fees, arising out of or in connection with the products or services provided by the supplier.
7. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the state of Texas, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall be resolved through negotiation and, if necessary, through arbitration in accordance with the rules of the American Arbitration Association.
8. Changes to Terms
Company may update these Supplier Terms and Conditions from time to time. Updated Terms will be provided to suppliers, and continued engagement in business with Company will constitute acceptance of the updated Terms.
